Rajeev (Raj) Dewan is a partner in the Corporate Practice Group with a practice that is focused on advising public/ private companies in high growth sectors (TMT, energy and agriculture), mid-market investment banks, venture capital funds and family offices.

Raj advises on all facets of corporate and securities law, with a particular emphasis on structuring financings and acquisitions. He brings significant expertise in advising entrepreneurs in high-growth sectors to support their business objectives.

He also has significant experience advising on cross-border transactions in and from Canada with emerging markets, specifically in relation to structuring, sourcing, and implementing cross-border financings, inbound/outbound investments and international joint ventures between Canadian companies and corporate groups and family offices in both the Middle East and Asia.

Raj has recently been appointed to the Ontario Securities Commission (OSC)'s Small and Medium Enterprises Committee (SMEC). The 14-member SMEC advises OSC staff on matters related to small and medium enterprises (SMEs). Committee members discuss the development, implementation and communication of policies and practices to address issues affecting SMEs, in the pursuit of capital market efficiency, investor protection and economic growth.

Raj is a charter member and member of the board of directors of the Toronto Chapter of TiE Global, an international network of 15,000 entrepreneurs with 61 chapters across 15 countries. Raj also acts as a mentor and legal advisor to the Toronto Chapter of the Founder Institute, based in Silicon Valley and the world's largest entrepreneur training and startup launch program.

  •  Advised Treasury Metals Inc. (TSX: TML) in connection with a private placement where Haywood Securities Inc. was acting as agents.
  • Advised a GMP Securities L.P., Paradigm Capital Inc., Cormack Securities Inc. and INFOR Financial Inc. as underwriters in connection with a $30MM bought deal private placement of subscription receipts issued by Dealnet Capital Corp. (TSX V: DLS).
  • Advised GreenSky Capital Inc. in the establishment of the GreenSky Accelerator Fund I, LP an early stage venture fund.
  • Advised VIQ Solutions Inc. (TSX V: VIQ) in connection with a private placement and concurrent acquisition of Dataworx Systems Limited.
  • Advised Difference Capital Financial Inc.(TSX: DCF)in connection with a private placement financing with Bluedrop Performance Learning Inc. (TSX V: BPL)
  • Advised Redline Communications Inc. (TSX: RDL) in connection with various joint ventures in the Middle East. 
  • Advised Maxim Resources Inc. (TSX V: MXM) in connection with the acquisition of oil and gas interests in the Kingdom of Morocco and a proposed AIM secondary listing and concurrent brokered financing with SP Angel Corporate Finance LLP as broker and NOMAD.
  • Advised Cancana Resources Corp. (TSX V: CNY) (a TSXV 50 Company) in connection with a joint venture and concurrent financing of approximately $6MM with Ferrometals BV (an affiliate of The Sentient Group) for the acquisition of shares of Rio Madeira Comércio Importação e Exportação de Minérios Ltda.
  • Advised Sentry Metrics Inc. (a Profit 100 Company) in connection with its acquisition by The Herajevac Group.
  • Advised Upsnap Inc. (CSE: UP) in connection with $4.4 MM financing, consisting of a strategic equity investment by User-Friendly Media (a portfolio company of Veronis Suhler Stevenson, a US media merchant bank).
  • Advised 4Front Capital Partners Ltd. as agent in connection with a Series "C" $6MM private placement of Baanto International Ltd. 
  • Advised Mackie Research Capital Corporation and Industrial Alliance Securities Inc. as underwriters in connection with a $10-million bought deal done by way of a short form prospectus offering of Ridgeline Energy Services Inc. (TSX V: RLE).
  • Advised Mint Technology Corporation (TSX V: MIT) in connection with the acquisition of the assets of Workers Equity B.S.C. (a UAE payroll card services provider).
  • Advised Black Marlin Energy Limited (a Dubai-based oil and gas company) in connection with a RTO and concurrent private placement financing on the TSX Venture Exchange (this was one of the first RTOs on the TSX Venture Exchange involving a Middle Eastern company).
  • Advised Bharti Airtel on its US$10.7-billion acquisition of Kuwait based Zain's telecom businesses in 15 African countries (the second largest acquisition ever by an Indian Company).
