Ryan practises technology-related business law, and is a member of the Technology, Intellectual Property and Privacy group as well as Co-Chair, Information Technology, at McMillan's Vancouver office.

Ryan has extensive intellectual property and information technology experience combined with a background in corporate matters, including experience in mergers and acquisitions, technology outsourcing, service provisioning, venture capital funding, high-technology employment, licensing and commercial contracting.

Generally, he regularly assists clients in acquiring, selling or commercializing technologies, whether it is negotiating or drafting a term sheet or contract, strategizing with management, managing trade secrets and other IP, closing a deal, or dealing with contractual issues or disputes. Ryan works with companies across Canada and internationally who are systems integrators, consultants, developers, retailers, publishers and service providers, particularly in the software, information technology and video game industries.

As a former software and Internet developer, Ryan has a unique insight to emerging technology matters important to today's businesses, such as Internet security, open source software, cloud computing, social media and anti-spam. Ryan is a frequent speaker and presenter on a wide variety of legal matters including Canada's Anti-Spam Law, technology law and intellectual property issues, and also is the co-author of "Internet Law Essentials : Canada's Anti-Spam Law" published by Specialty Technical Publishers.

Ryan regularly represents clients in various corporate and transactional matters including the following:

  • Represented Bit Stew Systems Inc. in its sale to a subsidiary of General Electric Co. in a cash transaction valued at US$153 million in November 2016.
  • Canadian Counsel to UK investment firm in its investment and acquisition of a Vancouver digital research company in early 2016.
  • Represented Markus Frind and Frind Holdings Ltd. in the USD$25M Series A private equity financing of Cymax Stores Inc. led by Frind Holdings, BDC Ventures and Salman Partners in 2015
  • Lead counsel for Plentyoffish Media Inc. ("POF") and its founder Markus Frind in POF's acquisition by The Match.com Group for US$575 million in cash in October 2015.
  • Acted for several Vancouver-area technology companies in start-up, initial financings, institutional and venture backed financings, including Bit Stew Systems Inc. starting with its founding in 2009.
  • Acted for Cengea Solutions Inc. in its acquisition by Trimble Navigation Limited, September 2010.
  • Acted for Silian Sapphire Corporation, a wholly-owned subsidiary of China Silian Instruments Group Co., Ltd. of Chongqing, China, in the acquisition of the assets of Honeywell International Inc., Honeywell ASCa Inc., and Honeywell Electronic Materials, Inc., August 2008.
  • Acted for the special committee of the board of directors of Gemcom Software International Inc. in its acquisition by a vehicle indirectly owned by affiliates of JMI Equity Fund VI, L.P., Carlyle Venture Partners III, L.P. and Pala Investments Holdings Limited for approximately C$190 million, July 2008.
  • Acted for Sierra Systems Group Inc. in its acquisition by Golden Gate Capital, January 2007.
  • Acted for Sierra Systems Group Inc. in its acquisition of Alberta-based Turn Key Management Consulting Partnership, May 2006.
