Mark Neighbor is a Partner in the firm's Vancouver office. His practice is focused on corporate and securities law matters. Mark has particular experience in going public transactions, equity and debt financing and public mergers and acquisitions. 

Mark regularly assists clients with the listing process on the Toronto Stock Exchange, the TSX Venture Exchange and the Canadian Securities Exchange through Qualifying Transactions, reverse takeovers and initial public offerings. He also advises companies on complex transactional work and general corporate matters, such as asset and share acquisitions, going private transactions, corporate reorganizations and spin outs and in complying with continuous disclosure, corporate governance and stock exchange requirements. 

Mark’s practice in international in scope, and he represents clients in a number of industries, including mining, technology, industrial and cannabis companies.

Recent transactions include advising:

  • an industrial issuer with an IPO of shares and convertible debentures on the TSX Venture Exchange;
  • a US network marketing company with a listing on the TSX Venture Exchange by way of a Qualifying Transaction;
  • a TSX Venture Exchange listed mining company in connection with the negotiation of property option and royalty agreements;
  • a Toronto Stock Exchange listed mining company that was the target company of an acquisition by way of plan of arrangement;
  • a private company on the sale of automobile dealerships;
  • agents on numerous private and public offerings of securities; and
  • TSX Venture Exchange listed companies in numerous private placements.
