Our client West Fraser completed the acquisition of the Gilman Building Products Group from the Howard Gilman Foundation, which includes six lumber mills and a finger-jointing operation, for US$430 million.

In connection with the acquisition, West Fraser also negotiated a new Credit Agreement with its syndicate of lenders to provide a new US$200 million term acquisition facility and to include its existing US and Canadian revolving credit facilities.

McMillan LLP acted as West Fraser’s lead counsel with a team led by Tom Theodorakis and comprised of Mike Taylor, Jill Pereira, Peter Botz, Leo Raffin, Morgan McDonald, Joanna Dawson, Becky Rock, Lindsay Dykstra, Navnit Duhra and Mark Neighbour.

Butler Snow LLP acted as US counsel for West Fraser on the acquisition and Gibson, Dunn & Crutcher LLP also acted as US counsel for West Fraser on the related HSR (Hart-Scott-Rodino Act) filing. Skadden, Arps, Slate, Meagher & Flom LLP acted as counsel to the Howard Gilman Foundation.
