On October 1, 2015, Richards Packaging Inc. (“Richards”), a leading packaging distributor in Canada and the third largest in North America, completed the acquisition of all of the outstanding shares of Healthmark Services Ltd. (“Healthmark”), a leading Canadian provider of sterile IV, chemo and oral drug packaging and dispensing systems to the health care industry. The acquisition was financed by an increase to Richards’ term credit and a draw down on its revolving credit.
McMillan acted as counsel to Richards, with a team that included Patrick Phelan and Hilary Hennick (corporate), Eric Friedman, Sean Brandreth, Yonatan Petel and Patrice Beaudin (financial services), Pierre-Christian Collins Hoffman (real property) and Ratika Gandhi (health law).
McCarthy Tetrault represented the vendors with a team that consisted of George Maziotis, Stephanie Lee, Julien Brousseau and Charles Flicker. Dentons acted for Richards’ lender, The Bank of Nova Scotia, with a team that included Ryan Middleton, Marie-Eve Lany and Alexandra North.
