On June 25, 2015, Uranium Energy Corp. (NYSE MKT: UEC) closed a public offering of 5,000,000 units (the “Units”) to two institutional investors at a price of US$2.00 per Unit for gross proceeds of US$10 million.

The Units were offered by Uranium Energy Corp. pursuant to a prospectus supplement to its effective US$100 million Form S-3 shelf registration statement previously filed with the SEC and pursuant to a prospectus supplement to its US$100 million shelf prospectus previously filed in each of the provinces of Canada, except Quebec, pursuant to the multi-jurisdictional disclosure system (MJDS).

H.C. Wainwright & Co., LLC acted as the sole lead placement agent and Cantor Fitzgerald & Co. acted as co-placement agent. Dundee Capital Markets Ltd. acted as a financial advisor.

Ellenoff Grossman & Schole LLP served as U.S. counsel to the placement agents. Stikeman Elliott served as Canadian counsel to Cantor Fitzgerald.
