On March 10, 2016, Uranium Energy Corp. (NYSE MKT: UEC) closed its registered direct offering with certain institutional investors, including J.P. Morgan Asset Management UK Limited and Resource Capital Investment Corp., a division of Sprott Inc., for gross proceeds of US$10,510,000 pursuant to the issuance of 12,364,704 units of UEC at a price US$0.85 per unit, with each unit being comprised of one share and half of one warrant, and with each whole warrant being exercisable for an additional share at a price of US$1.20 for a period of three years. The registered direct offering was completed pursuant to a prospectus supplement to UEC’s effective shelf registration statement on Form S-3 filed with the SEC in the U.S. and MJDS shelf prospectus in Canada, which demonstrates our ability to provide Canadian and U.S. securities advice to our client.

In connection with the offering, Dundee Securities Ltd. and Rodman & Renshaw a unit of H.C. Wainwright & Co., LLC acted as co-lead placement agents and Haywood Securities Inc. and Cantor Fitzgerald Canada Corporation acted as financial advisors.

UEC was represented on the transaction by a McMillan team led by Thomas Deutsch and Michael Shannon and included Herb Ono, Sasa Pudar, Joni Liew and Linda Rocca. Also assisting was John Hollinrake at Dorsey & Whitney’s Seattle office on U.S. tax matters.
