Representative Matters

  • Acted as counsel for a Canadian Chartered Bank advising in relation to series of independent loans to large-scale agribusiness operators. Loans ranged in value from approximately $50 million to $100 million and were secured by real property, agricultural quotas (including Dairy, Layer and Broiler) and other security agreements.
  • Acted as lead lender’s counsel on a $30 million loan to a Canadian Oil and Gas company.
  • Acted for lead lender in respect of $47 million syndicated loan made to a development corporation to finance the construction of a condominium tower in Calgary.
  • Acted for lender in respect of project financing facilities provided to a power corporation to finance the construction of two fifteen mega-watt gas to power projects which use natural gas to generate power from two turbines.
  • Acted for lender in respect of an amended and restated loan agreement for a wholesale flooring facility and a wholesale leasing facility in the aggregate amount of approximately $180 million.
  • Acted for lender in respect of project financing facilities of approximately $30 million for the purchase and development of an automobile dealership property.
  • Acted for a seismic data corporation in respect of $50 million syndicate facilities to refinance existing facilities and for general operating purposes.
  • Acted for lead lender in respect of syndicated project financing provided to a development company for the construction of a residential community in Calgary.
  • Acted for lender in respect of an equipment financing to an energy corporation for the purchase and construction of drilling rigs, services rigs, and oilfield rental equipment.
  • Acted for lead lender in respect of an amended and restated syndicated loan agreement for facilities of approximately $180 million for general operating purposes and for the purchase of real estate in Alberta.
  • Acted as lead lender’s counsel on a $75 million multi-jurisdictional cross-border loan transaction to a major Canadian drilling company.
  • Acted for lender in negotiating participation agreement regarding a loan to a Canadian oilfield services company; the participation agreement was to be used as a template for a series of participations between the two financial institutions.
  • Acted as borrower’s counsel on a $20 million loan to finance the reorganization of a major Canadian private corporation.
  • Acted as borrower’s counsel on a $14 million loan to finance the construction of an industrial/logistics warehouse in north Calgary.
  • Acted as lender’s counsel on a $12 million loan to local restaurant owner.
  • Acted for shareholders in $50 million sale of shares in a Calgary-based engineering company to a publicly owned engineering company.
  • Acted for shareholders in $10 million sale of shares in a Calgary-based meat-packing company.
