Bruno Caron’s is a well-respected lawyer with a practice primarily focused on corporate law and securities, with particular emphasis on public and private financing, mergers and acquisitions as well as corporate governance.  In 2021, Best Lawyers in Canada recognized Bruno as a leading lawyer in Mergers and Acquisitions Law.

He represents a variety of clients in debt securities and share issues, initial public offerings, Capital Pool Company qualifying transactions, Canadian/American cross-border offerings, as well as private placements. He also advises clients in the negotiations of shareholders’ agreements, joint-venture agreements and other commercially related agreements. Bruno has acted in the past on transactions involving the acquisition of brokerage firms.

Bruno has a particular interest in green financing as a means to mitigate and adapt to the climate change and for the disclosure rules applicable to the risks associated with climate change. He has acted for Sovereign in connection with green bond issuances. Bruno was also nominated by the Canada Climate Law Initiative to join the list of Canadian Climate Governance experts.

Bruno has broad international experience having practiced law in New York and in Romania. He has represented many clients in matters involving the issuance of debt and equity, initial public offerings, cross-border offerings, as well as private placements under Regulation D, Rule 144A and Regulation S of the U.S. Securities Act of 1933.  Bruno has been registered as a Foreign Legal Consultant in the State of New York since 2000.

  • Docapost SAS in its initial equity investment in Groupe Tactio Santé
  • Valener Inc. in its $1.2 billion sell to Noverco Inc.
  • SPX Corporation in its acquisition of Carmanah Technologies Corporation’s marine and other business, for USD $77 million
  • The syndicate of agents co-led by Canaccord Genuity Corp. and PI Financial Green Organic Dutchman’s $132 million IPO
  • Arbec Forest Products Inc. in its participation in the construction of Québec biocrude production facility with $76.5 million in government funding
  • The shareholders of BuildIT Software & Solutions Ltd. in its cross-border sell to FARO Technologies
