Cindy Chung is a financial services lawyer with broad experience advising on national and cross-border transactions. She represents a wide range of borrowers and lenders in matters related to acquisition and general corporate finance, fund finance, project finance, real estate finance, venture debt finance and asset finance.

As part of her practice, Cindy is routinely involved with drafting and negotiating loan agreements, security agreements, guarantees, payoff letters, corporate documents, opinions and other industry specific financing documents.

Prior to joining McMillan, Cindy also practiced in London, England where she specialized in complex cross-border financings. Through her experience she has fostered an understanding of diverse negotiation approaches and decision-making processes, allowing her to provide effective counsel to Canadian and international clients.

  • Acted for a Canadian investment fund as borrower on a $250M revolving subscription credit facility.
  • Acted for a Canadian investment and asset management firm on multiple multi-million dollar credit facilities in relation to several acquisitions to support the development and construction of long-term care homes across Ontario.
  • Acted for a Canadian environmental waste services company on a $200M acquisition credit facility to support the expansion of its environmental services infrastructure.
  • Acted for a Canadian bank as a lender on a $173M credit facility to support the financing of a windfarm construction project.
  • Acted for a U.S. bank in relation to a large number of venture debt financings for early-stage startups and high growth companies across the UK and other parts of Europe.
  • Acted for a major UK energy company as a senior secured party in a £500M acquisition of a Scottish energy company.
  • Acted for a UK fund as senior lender on the refinancing of a $250M senior credit facility to finance the building of a mine in Botswana.
  • Acted for a debt fund on a $130M share reorganization and share sale of a Canadian mining company.
  • Acted for a Japanese multinational bank on a $175M credit facility to finance the purchase of aircraft and engines.
  • Acted for a U.S. real-estate private equity firm on a revolving credit facility in relation to several logistic warehouse acquisitions across the UK.
  • Acted for a major UK Bank on refinancing of a £23.5M credit facility on a portfolio of properties across the UK.
  • Acted for an Austrian Bank on a €50M capital call bridge facility.
