John Alsbergas is a capital markets lawyer with a growing practice focused on mergers and acquisitions, public and private financings, initial public offerings, startups and emerging companies, as well as venture capital. He also provides ongoing advice to issuers regarding securities regulatory compliance, stock exchange matters, continuous disclosure obligations and general corporate law.

John advises growing and established companies in a variety of industry sectors, including technology, cannabis, life sciences and natural resources.



Representative Matters

  • Acted for BGP Acquisition Corp. (NEO: BGP), a special purpose acquisition corporation, in respect of its initial public offering for gross proceeds of US$115 million.
  • Acted for Bonterra Resources Inc. (TSXV: BTR) in respect of its brokered private placement of flow-through shares, on an agency basis, for aggregate gross proceeds of approximately $11.66 million.
  • Acted for Highland Copper Inc. (TSXV: HI) in respect of its non-brokered private placement of units for aggregate gross proceeds of approximately $26 million.
  • Acted for Vext Science, Inc. (CSE: VEXT) in respect of its public offering of units, on a bought deal basis, and concurrent private placement, for aggregate gross proceeds of approximately $20.7 million.
  • Acted for VSBLTY Groupe Technologies Corp. (CSE: VSBY) in respect of its public offering of units, on an agency basis, and concurrent private placement, for aggregate gross proceeds of approximately $9.78 million.
  • Acted for VSBLTY Groupe Technologies Corp. (CSE: VSBY) in respect of its going public transaction on the Canadian Securities Exchange and in respect of its concurrent special warrant financing for gross proceeds of approximately $4.4 million.
  • Acted for Liberty Defense Holdings, Ltd. (TSXV: SCAN) in respect of its brokered private placement of units, on an agency basis, for aggregate gross proceeds of approximately $7.13 million.
  • Acted for DrawDown Detection Inc., in respect of its going-public transaction by way of a reverse takeover of Liberty Defense Holdings, Ltd. (TSXV: SCAN) and concurrent public offering of subscription receipts, on an agency basis, for gross proceeds of approximately $6.9 million.
  • Acted for a number of TSXV Capital Pool Companies in respect of their initial public offerings.
