Marina Tran is a capital markets lawyer with a growing practice focused on mergers and acquisitions. She also advises both issuers and investment dealers on public and private securities offerings, and various types of financing transactions. She has significant experience acting for clients in cross-border acquisitions of companies and businesses.

Assisting public companies in a range of industries including life sciences and technology, Marina provides counsel on general securities compliance, continuous disclosure and corporate governance. She also works with startups and emerging companies.

Prior to her legal career, Marina worked in corporate development at a biotechnology company, giving her first-hand knowledge of the needs of clients in the life sciences space.

  • Acted for Great Panther Silver Ltd. in completion in a cross-border offering of US$29.9 million of units pursuant to a base shelf prospectus and supplement filed in Canada and a base shelf prospectus and F-10 Acted for the syndicate of underwriters co-led by RBC Capital Markets, BMO Capital Markets and National Bank Financial in the offering of $66.49 million trust units and a $74.75 million offering of convertible debentures of NorthWest Healthcare Properties REIT.
  • Acted for the syndicate of underwriters co-led by BMO Capital Markets and RBC Capital Markets in the offering of $149.83 million trust units in Pure Industrial Real Estate Trust.
  • Acted for Great Canadian Gaming Corporation, in the acquisition of Casino New Brunswick, a casino and hotel facility in Eastern Canada.
  • Acted for Plentyoffish Media Inc. in the acquisition of POF by The Match.com Group for US$575 million.
  • Acted for Tahoe Resources Inc., in a $998 million secondary offering by Goldcorp Inc.
