Ted Scott is a seasoned business lawyer with a dynamic transactional practice. He is known for his extensive experience advising on complex domestic and cross-border deals for clients in a number of sectors, including the private equity and automotive industries.

With a broad scope of expertise, Ted assists clients on matters relating to acquisitions, corporate finance, joint ventures and strategic alliances, and cross-border commercial transactions. Acting for public and private corporations and financial institutions, he also advises on general commercial matters.

Ted is recognized in the Canadian Legal Lexpert Directory as a repeatedly recommended lawyer in the Corporate Mid-Market category.

Ted led the McMillan teams that acted for:

  • Kilmer Group in multiple transactions, including its merger transaction involving the Warren Group and Lafarge Canada, the Lafarge North America going private transaction, the Ontario Highway Service Centre PPP Project, the Pan-Parapan Games Athlete’s Village PPP Project (2011) and the Port Credit West Village Partners Project (2017).
  • Kilmer Group in the formation of the Kilmer Capital private equity funds and the formation of the Kilmer Brownfield funds and in the implementation of numerous private equity transactions, including investments in Maple Leaf Sports and Entertainment, Coretec, SMTC (IPO, 2000), York Uniforms, Vansco Electronics, Coalision, English Bay Batter (2014 and 2017), Billy Bishop Toronto City Centre Airport (2015), Chaleur Sawmills (2016) and Cypress Five Star (2017)
  • Canon Canada and its subsidiaries in various transactions
  • Honda Canada, its affiliates and associated entities in various transactions and commercial matters
  • MMM Group and its employee shareholders in connection with investments by OMERS in MMM Group (2009), various acquisitions by MMM Group and the sale to WSP Global (2015)
  • Royal Bank of Canada in multiple transactions including acquiring Westbury Canadian Life Insurance Company, the Canadian business of Mutual of Omaha, the Canadian business of Prudential of America Life Insurance Company (Canada), the Canadian business of UnumProvident Canada (2006), a branded credit card portfolio from Bank of America (2012) and various other commercial transactions
  • Intact Financial Corporation in various acquisitions and divestitures
  • Potentia Solar in connection with its acquisition of MOM Solar and other MOM entities from Morgan Stanley and Main Street Power (2013)
