On January 20, 2017, our client Uranium Energy Corp. (NYSE MKT: UEC) completed its US$26 million underwritten public offering of units at US$1.50 per unit, with each unit being comprised of one share and one-half of one warrant, and with each whole warrant being exercisable for an additional share at a price of US$2.00 per share for three years.
The transaction was a firm commitment underwritten public offering pursuant to a U.S. prospectus supplement to UEC’s effective shelf registration statement on Form S-3 filed with the SEC and an MJDS prospectus supplement to UEC’s effective MJDS shelf prospectus in Canada.  This is another transaction that demonstrates McMillan’s ability to provide Canadian and U.S. securities expertise to our client.

UEC was represented on the transaction by a McMillan LLP team led by Tom Deutsch and Michael Shannon (Canadian securities), Herb Ono and Michael Shannon (U.S. securities) and Cecilia Wong.  Also assisting was John Hollinrake at Dorsey & Whitney’s Seattle office on U.S. tax matters.
The Underwriters were co-represented by H.C. Wainwright & Co., LLC and Haywood Securities Inc. and included Dundee Securities Ltd. and Sprott Private Wealth LP.  Canadian counsel for the Underwriters were Stikeman Elliott LLP (Martin Langlois and Steven Bennett of the Toronto office) and U.S. counsel for the Underwriters were Ellenoff Grossman & Schole LLP (Joseph Smith and Matthew McCullough).
