Georges Dubé is recognized as a leading corporate finance and securities lawyer with a business law practice focused on capital markets and corporate governance. He has extensive experience in public and private securities offerings, as well as takeover bids and mergers and acquisitions, both in the Canadian and cross-border context.

With extensive transactional experience in industries including cannabis, mining, and life sciences, Georges helps startups and established companies achieve their goals while safeguarding their interests in the marketplace. His clients include large, mid-cap and emerging public issuers, as well as bank-owned and independent investment banks, activist shareholders, and domestic and foreign acquirers of Canadian public entities.

Providing guidance to boards of directors on strategic decision-making, George also acts for special committees and financial advisers of public issuer boards in the context of change of control or related-party transactions.

George served as a trustee of the publicly traded Slate Office REIT from 2012 to 2017. In 2010, the Ontario Securities Commission appointed Georges to the Securities Advisory Committee for a two-year term, where he advised on legislative and policy initiatives and capital markets trends.

  • NorthWest Healthcare Properties REIT public offering whereby NorthWest sold an aggregate of 8,544,500 trust units of REIT at price of $10.10 per unit, which includes 1,114,500 Units issued pursuant to the exercise in full of the over-allotment option granted to the underwriters of the Offering by NorthWest, on a bought deal basis, for aggregate gross proceeds of approximately $86.3 million
  • Cargojet Inc. in connection with a $115 million bought deal offering of convertible debentures in September 2016
  • NorthWest Healthcare Properties REIT in connection with a $140 million bought deal offering of units and convertible debentures in July 2016. Counsel to the syndicate of underwriters co-led by RBC Capital Markets, BMO Capital Markets and National Bank Financial
  • Pure Industrial Real Estate Trust in connection with a $149.8 million bought deal prospective offering of units in June 2016 – Counsel to the syndicate of underwriters co-led by BMO Capital Markets and RBC Capital Markets
  • Park Lawn Corporation in connection with a $24.2 million bought deal prospectus offering of subscription receipts in December, 2015 – Counsel to syndicate of underwriters led by National Bank Financial
